CHAPTER 16.
House Amendment to House Bill No. 233.
Amend House Bill No. 233, by adding at the end of Section 3 thereof the following: "And by inserting between the words 'Treasurer' and 'to' in the eighth line of Section 5 the following, to immediately notify all corporations of the amount of such license fee, or franchise tax due and payable by them and."
Also by adding a new Section thereto as Section 4 as follows:
"Section 4. That in making publication of the laws enacted at the present Session of the General Assembly, the Secretary of State shall publish the Act to which these amendments are added as the said Act is hereby amended."
An Act to amend Chapter 166 of Volume 21, Laws of Delaware, entitled "An Act to raise revenue for the State by taxing certain corporations," being an act relating to annual reports of corporations, and changing the taxable basis of corporations.
Be it enacted by the Senate and House of Representatives of the State of Delaware in General Assembly met:
Section 1. That Section 2 of said Chapter he amended by adding thereto the following, to wit:
Every other corporation shall file with the Secretary of State on or before the first day of January in each year an annual report, which shall state the location of its principal office in this State; the names of its officers, the amount of its authorized capital, the amount actually paid in, the amount invested in real estate, the tax annually thereon and the amount invested in manufacturing or mining in this State, or both.
Section 2. That Section 4 of said Chapter be amended by striking out all of said Section after the word "shall" in the forty-ninth line thereof to the word "pay" in the fifty-second line thereof, and by striking out of the fifty-fourth line of said Section 4 the words "stock issued and outstanding," and by inserting in lieu thereof the words "actually paid in;" and by striking out the period at the end of said Section 4, and inserting in lieu thereof a comma, and by adding to said Section 4 the following, to wit:
"or to any mercantile corporation whose capital actually paid in is invested in a mercantile business and carried on within this State, and which is now subject to a license tax for the carrying on of said business under Chapter 117, Volume 13, Laws of Delaware."
Section 3. That Section 5 of said Chapter be amended by striking out of line 4 of Section 5 the word "returned" and by inserting in lieu thereof the following, to wit: "Determined from the annual report filed;" and by striking out of lines 4 and 5 of said Section 5 the words "or company to or be ascertained by the said Secretary of State" and inserting in lieu thereof the following, to wit: "as hereinbefore required;" and by striking out all of said Section 5 after the word "to" in line twelve thereof to the word "as" in line fourteen thereof, and by inserting in lieu thereof the following, to wit: "inquire into the truth or falsity of every report required to be filed by this Act;" and by striking out of the fifteenth line of said Section 5 the words "of this act" and by inserting in lieu thereof the word "hereof:" and by striking out of the sixteenth line of said Section 5 the words "or company."
