HOUSE BILL NO. 242

AN ACT TO AMEND TITLE 6 OF THE DELAWARE CODE RELATING TO LIMITED LIABILITY COMPANIES.

BE IT ENACTED BY THE GENERAL ASSEMBLY OF THE STATE OF DELAWARE:

Section 1. Amend § 18-305, Title 6 of the Delaware Code by inserting a new subsection (h) as shown by underline as follows:

(h) A limited liability company shall maintain a current record that identifies the name and last known business, residence, or mailing address of each member and manager.

Section 2. This Act shall become effective August 1, 2014.

SYNOPSIS

New section 18-305(h) of Title 6 provides that limited liability companies must maintain a current record of the names and addresses of their members and managers.
